Does a law partnership have capital contributing members?
Whether or not a law partnership has capital contributing members is specified in Article 34 Law on Lawyers 2006 as follows:
Company of law
1. Law firms include partnership law firms and limited liability law firms. Members of the law firm must be lawyers.
2. A law partnership established by at least two lawyers. A law partnership does not have capital contributing members.
3. Limited liability law firms include limited liability law firms with two or more members and one-member limited liability law firms.
A limited liability law firm with two or more members established by at least two lawyers.
A one-member limited liability law firm founded and owned by a lawyer.
4. Members of a law partnership or limited liability law firm with two or more members shall agree to appoint one member to be the company's Director. A lawyer who owns a one-member limited liability law firm is the company's director.
5. The name of a partnership law firm, a limited liability law firm with two or more members is chosen by agreement of the members, the name of a one-member limited liability law firm is chosen by the owner and according to the provisions of the Enterprise Law but must include the phrase "partnership law firm" or "limited liability law firm" and must not be identical or confusing with the name of another registered law practice organization. When registering for operation, do not use words or symbols that violate the historical, cultural, ethical traditions and fine customs of the nation.
According to the above regulations, a law partnership is established by at least two lawyers. And a law partnership does not have capital contributing members.
