1. Required Application Documents

- Application for enterprise registration;

- List of founding shareholders and foreign investors; list of authorized representatives for foreign institutional shareholders;

- Charter of the company (Articles of Association);

- Certified copies of the following documents:

+ Citizen Identity Card, Identity Card, Passport, or other legally recognized identification documents of the individual founding shareholders and individual foreign investors

+ Establishment decision or enterprise registration certificate or equivalent document of the organization; valid Citizen Identity Card, Identity Card, or Passport of the authorized representative of the founding institutional shareholder or foreign institutional investor, together with the corresponding authorization document (refer to the authorization contents under Article 15 of the Law on Enterprises);

Note: For foreign institutional shareholders, the enterprise registration certificate or equivalent document must be legalized by consular authorities.

- Investment Registration Certificate for foreign investors in accordance with the Law on Investment;

- Capital contribution transfer agreement or documents evidencing the completion of capital transfer, or investment capital contribution agreement, or legal documents proving lawful inheritance rights;

- Decision of the owner on the conversion of the company;

Note: The application dossier must also include:

- Declaration of the applicant's information;

- Application cover (nylon cover, not bearing any unrelated text or markings);

- Power of attorney (if applicable);

Note: Enterprises shall not register for changes to the legal representative concurrently with the conversion application.

2. Processing Timeframe

Within 05 working days from the date of receipt of a complete and valid application.

3. Outcome

- Enterprise Registration Certificate, if the application is valid and complete;

- Notification of amendment or supplementation of the application dossier, if the application is incomplete or invalid.
