The order of execution

*In case of direct registration:

- The business founder or the person authorized to carry out business registration procedures submits the business registration application and pays the business registration fee at the Business Registration Office where the business is headquartered.

- Upon receiving the application, the Business Registration Office will issue a Receipt. In case of receiving all valid documents, the Business Registration Office will issue a Business Registration Certificate.

- If refusing to issue a Business Registration Certificate, the Business Registration Office will notify the business founder in writing.

*In case of electronic registration using public digital signature:

- The legal representative declares information, downloads electronic documents and digitally signs the electronic registration dossier according to the process on the National Business Registration Portal (https://dangkylanhdoanh.gov. VN).

- After completing the submission of registration documents, the legal representative will receive a Receipt of business registration documents via electronic network.

- In case the dossier is not valid, the Business Registration Office sends a notice via electronic network to the enterprise to request amendments and supplements to the dossier.

- In case the application meets the conditions for issuance of a Business Registration Certificate, the Business Registration Office sends information to the tax authority to automatically create a business code. After receiving the business code from the tax authority, the Business Registration Office issues the Business Registration Certificate and notifies the business about the issuance of the Business Registration Certificate.

*In case of electronic registration using Business Registration Account:

- The legal representative declares information and downloads electronic documents of personal identification documents at the National Business Registration Portal to be granted a Business Registration Account.

- The legal representative uses the business registration account to declare information, download electronic documents and authenticate business registration documents online according to the process on the National Registration Portal. Business registration (https://dangkykinhdoanh.gov.vn).

- After completing the submission of registration documents, the business founder will receive a Receipt of business registration documents via electronic network.

- The Business Registration Office is responsible for reviewing and sending electronic notices to businesses to request amendments and supplements to documents in case the documents are not valid. When the application is eligible for issuance of a Business Registration Certificate, the Business Registration Office sends information to the tax authority to create a business code. After receiving the business code from the tax authority, the Business Registration Office notifies the business electronically about the issuance of the Business Registration Certificate.

- After receiving notice of the issuance of the Business Registration Certificate, the legal representative submits a set of paper business registration documents and a receipt of the business registration application via email. Please go to the Business Registration Office. The legal representative can submit the business registration application directly in paper form and the Receipt of business registration application electronically at the Business Registration Office or submit it by mail.

- After receiving the paper dossier, the Business Registration Office compares the dossier entries with the enterprise dossier entries sent electronically and awards the Business Registration Certificate to the enterprise if the content is correct. unified comparison.

- If within 30 days from the date of sending the notice of issuance of the Certificate of Business Registration, the Business Registration Office does not receive the paper documents, then the electronic registration documents of the enterprise will no longer be available. effect.

- The legal representative is responsible for the completeness and accuracy of the dossier submitted on paper compared to the dossier sent electronically. In case the dossier submitted on paper is not accurate compared to the dossier sent electronically and the applicant does not notify the Business Registration Office at the time of submitting the paper dossier, it will be considered a violation. falsify documents and will be handled according to the provisions of Clause 1, Article 63 of Decree 78/2015/ND-CP.

How to perform

The business founder or the person authorized to carry out business registration procedures submits the business registration application directly to the Business Registration Office where the enterprise is headquartered or the legal representative submits the application. Register your business electronically according to the process on the National Business Registration Portal (https://dangkykinhdoanh.gov.vn).

Document components include:

- Application for business registration;

- A valid copy of one of the personal identification documents specified in Article 10 of Decree 78/2015/ND-CP of the private enterprise owner (specifically: For Vietnamese citizens: Citizen identification card or Valid Vietnamese ID card or Passport; For foreigners: Foreign passport or valid document replacing a valid foreign passport).

- Original certificate of household business registration and valid copy of Tax registration certificate in case of registering to establish an enterprise on the basis of conversion from household business.

*In case of authorization to carry out business registration procedures, the authorized person must submit a valid copy of one of the personal identification documents (specifically: For Vietnamese citizens: Citizen identification card or ID card or valid Vietnamese passport; For foreigners: Foreign passport or valid document replacing a valid foreign passport), accompanied by:

- A valid copy of the service provision contract with the service organization performing procedures related to business registration and a letter of introduction from that organization to the individual directly performing procedures related to registration enterprise; or

- Authorization document for an individual to carry out procedures related to business registration.

These documents are not required to be notarized or authenticated.

Resolution deadline:

- In case of electronic registration: If within 30 days from the date of sending the notice of issuance of the Business Registration Certificate, the Business Registration Office does not receive the paper documents. The enterprise's electronic registration is no longer valid.
